eLong announces resignation of audit committee chairman

BEIJING, Aug. 7 (InfoChina) - eLong Inc. (Nasdaq: LONG) announced the resignation of David Goldhill as the Chairman of the Company’s audit committee on August 7. The resignation took effect from July 30, 2007.
The resignation is due to Goldhill ceasing to be independent, as he takes up CEO of a company under eLong’s control.
Owing to Goldhill’s resignation, the company is no longer compliant with Nasdaq Marketplace Rule 4350, which requires that every Nasdaq-listed company have an audit committee comprising at least three members.
Under the circumstance, Nasdaq notified eLong on August 2 that the company was not in compliance with the Nasdaq audit committee requirements, but eLong would be provided with a grace period ended on the earlier of the company’s next annual stockholders’ meeting and July 30, 2008.
eLong expects that it will fill Goldhill’s vacancy on time. (Edited by Yang Liu,
